First trap: starting at the end

Many people start at the end. They hear about an American LLC, a company in Dubai or a British structure, then they hear “no tax” — and they try to fit their business into it. That is exactly the opposite of what should be done.

The right method is to analyse the situation first: residence, activity, clients, flows, banking, tax obligations, tax and financial risks. Only then do you choose the structure that matches that analysis and that will be the safest for you in light of all those factors. It is the only way to build a durable, secure setup. What is the point of forming a company abroad if it exposes you to significant financial or tax risks that are often poorly assessed?

An offshore company should never be chosen because it is popular. It should be chosen because it fits your situation and answers a specific need. It should be designed after a strategic and tax analysis, along with an analysis of the risks and the financial aspects of the project.

You have to think globally: in the event of an audit, will we be able to explain why the structure was set up in that country, how it is consistent with your situation and how it works in practice? If we cannot explain it, it is probably not yet thought through well enough.

Second trap: believing the company protects you automatically

A company does not protect you if it is artificial. Without proper planning, the whole thing can collapse like a house of cards. It can even become the very thing that draws attention, leading to an audit that is sometimes disastrous.

Third trap: overlooking banking and payments

Many people think about the company but not about the bank account, the platforms, the supporting documents or compliance. Yet a company without a solid banking solution is hard to operate. This is often one of the most delicate parts of an international project.

If the file is not consistent or sufficiently documented, a bank may refuse to open the account, ask for additional documents or block certain payments. A foreign company is of little use if it does not let you collect and manage funds properly.

Fourth trap: overlooking reporting obligations

Even if a structure allows low taxation, it may require filings, documents, accounting and evidence. Optimisation does not mean an absence of obligations.

Last trap: being poorly advised

Your company evolves, and so does your situation. That is why it matters to surround yourself with tax and strategic advisers, so that your strategy stays aligned with the facts. An American LLC may be the best solution today and no longer be so in two years.
